Valuation Ninja provides 409A valuation services for private companies. Our services include:

• 409A valuation reports for common stock
• Fair market value determinations
• Compliance documentation for IRS and AICPA requirements
• Support and consultation services

3. Client Responsibilities

You agree to:

• Provide accurate and complete information for valuations
• Respond promptly to requests for additional information
• Notify us of any material changes affecting the valuation
• Use our services only for lawful purposes

4. Payment Terms

Payment is due upon ordering a valuation. Prices are as listed on our website at the time of purchase. We accept major credit cards and bank transfers. All fees are non-refundable once work has commenced on a valuation.

5. Deliverables and Turnaround

Turnaround times are estimates based on complete information being provided. Delays in providing required information may extend delivery times. Final reports are delivered electronically in PDF format.

6. Valuation Validity

409A valuations are generally valid for 12 months from the valuation date, unless a material event occurs that would significantly affect the company's value (such as a new funding round, acquisition, or significant business change).

7. Limitation of Liability

Our liability is limited to the fees paid for the specific valuation service. We are not liable for any indirect, incidental, special, or consequential damages. Our valuations are opinions of value and are not guarantees of any particular outcome.

8. Intellectual Property

All valuation methodologies, software, and processes used by Valuation Ninja are our proprietary property. Clients receive a license to use their valuation report for its intended purpose only.

9. Confidentiality

We maintain strict confidentiality of all client information. We will not disclose your information to third parties except as required by law or as necessary to provide our services (e.g., certified appraisers who review reports).

10. Termination

Either party may terminate the service relationship at any time. Fees for work completed prior to termination are non-refundable.

11. Changes to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms.
